VISION, MISSION, PURPOSE

A saved, healed, restored and fulfilled community of disciples of Jesus Christ.

- Heritage Church is organized exclusively for religious, charitable and educational purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code of 1986 (or corresponding provisions of any future United States Revenue Law); including, but not limited to, for such purposes as the establishing and maintaining of Christian religious worship, the building, maintaining and operating of churches, parsonages, schools, chapels, radio stations, television stations, rescue missions, print shops, daycare centers, book stores, camps, and nursing homes.
- Heritage Church shall also ordain and license men and women to the Gospel Ministry; proclaim the Gospel of the Lord Jesus Christ, educate believers in a manner consistent with the requirements of Holy Scripture both in Sunday and weekday schools of Christian education, and maintain missionary activities in the United States and any foreign country.

ARTICLE III
STATEMENT OF FAITH, MEMBERSHIP COMMITMENT AND LEADERSHIP COMMITMENT

The Bible
The sole basis of Heritage Church’s belief is the Bible, composed of sixty-six
books of the Old and New Testaments. Heritage Church believes all Scripture is inspired
by God and was given through chosen men; therefore, it speaks with the authority of
God and reflects the background, styles and vocabulary of the human authors. The
Scriptures are without error in the original manuscripts. They are the supreme and final
authority in faith and life, and there are no other writings similarly inspired by God. (II
Timothy 3:16; II Peter 1:21)
God
Heritage Church believes there is one true, holy God, eternally existing in three
persons: Father, Son and Holy Spirit. Each possesses equally all the attributes of deity
and the characteristics of personality. In the beginning God created out of nothing the
world and all things therein. By His power and authority, He is operating throughout
history to fulfill His redemptive purposes. (Matthew 28:19; I Peter 1:2)
Jesus Christ
Heritage Church believes in the deity of Jesus Christ, His virgin birth,
sinless life, miracles, and death on the cross to provide for our redemption, bodily
resurrection, ascension into heaven, present ministry of intercession for us, and His
return to earth in power and glory to fulfill the eternal plan of God. (Isaiah 7:14; Luke
24:50-52; John 1:1-14; Acts 1:11; I Corinthians 15:3-4; Philippians 2:6-11; Titus 2:11-14).
Holy Spirit
Heritage Church believes the Holy Spirit was sent into the world by the
Father and the Son to impart to mankind the saving work of Christ. He convicts sinners,
awakens in them the recognition of their need of a Savior, and regenerates them. At the
point of salvation, He permanently indwells every believer to become the source of
assurance, strength and wisdom, and He uniquely endows all believers with spiritual
gifts for building up the church. The Holy Spirit guides believers in understanding and
applying the Scripture. His power and control are appropriated by faith making it possible
for the believer to lead a life of Christ-like character and to bear fruit to the glory of the
Father. (John 14:16-17; John 16:7-15; Acts 1:8; I Corinthians 6:19-20; I Corinthians
12:4-7; Galatians 5:16-17 & 22-25; Ephesians 1:13-14; Ephesians 5:18; I Peter 4:10)
Salvation
Heritage Church believes that man was created in the image of God, for fellowship
with God, that he sinned and thereby incurred not only physical death, but also
spiritual death, which is separation from God. (Genesis 1:27, 2:17, 3:6; Romans
5:12, 3:23, 5:18-19)
Heritage Church believes that the Lord Jesus Christ died for our sins according to the Scriptures as a substituted sacrifice and that all who trust in Him are justified on the grounds of His death and resurrection. (Acts 13:39; Romans 4:24-25; I Corinthians 15:3-8; II Corinthians 5:21; I Peter 2:24; I John 1:7)

Baptism
Heritage Church believes that our Lord Jesus Christ ordained baptism and,
therefore, every believer should be baptized. Heritage Church believes that baptism is
symbolic of an individual’s identification with Christ as Savior and Lord and this
identification is best represented in baptism by immersion. (Matthew 28:18-20).
Lord's Supper
Heritage Church believes that the Lord’s Supper was ordained by our
Lord Jesus Christ and serves to remind us in symbolic manner of the death of the Lord
Jesus Christ on our behalf. (Matthew 26:26-29; I Corinthians 11:23-32)
The Church
Heritage Church believes in the true Church universal, a living spiritual body, of
which Christ is the Head, and of which all who have trusted Christ as Savior and
Lord are members. Heritage Church believes that a visible Church is a local body of
believers in Jesus Christ, whose purpose is to gather together for exaltation,
evangelism, edification and education. (Acts 2:42-47; Ephesians 4:11-16; Hebrews
10:24-25).
Heritage Church believes members of the Church should seek to discover and exercise their spiritual gifts in useful forms of ministry. (Romans 12:3-8)
Heritage Church believes that the Church is salt and light resulting in a Christ-like influence in the world. (Matthew 5:13-16)

Faith And Practice
Heritage Church believes that Scripture is the final authority in all
matters of faith and practice. This Church recognizes that it cannot bind the conscience
of individual members in the area where Scripture is silent. Rather, each believer is to be
led in those areas by the Lord, to whom he or she alone is ultimately responsible.

Heritage Church believes that God has ordained and created all
authority consisting of three basic institutions:

Human Sexuality
Heritage Church believes that God has commanded that no intimate sexual activity
be engaged outside of a marriage between a man and a woman. Heritage Church
believes that any homosexuality, lesbianism, bisexuality, bestiality, incest, fornication,
adultery and pornography are sinful perversions of God’s gift. Heritage Church
believes, however, that anyone who has repented of his or her sin and trusted Jesus
as his or her Savior can be greatly used of God in Christian service. (Genesis 2:24,
19:5; Leviticus 18:1-30; Romans 1:26-29; I Corinthians 5:1, 6-11; I Thessalonians
4:1-8; Hebrews 13:4)
Heritage Church believes that God establishes gender at birth. (Genesis 1:27, 5:1-2; Mark 10:6-9)

Marriage And Divorce
Heritage Church believes that the only legitimate marriage is the
joining of one man and one woman in a covenant before God who hates divorce and
intends marriage to last until one of the spouses dies.
Divorce is regarded as sin except on the grounds of adultery or if the unbelieving spouse leaves the marriage. Remarriage is permitted under these two circumstances or after the death of a spouse. People, who have divorced for other reasons and have repented of their sin, are forgiven and may hold positions of service in the church and be greatly used of God for Christian service. However, those holding the office of pastor or those serving as members of the Leadership Team are held to a higher standard. Much serious consideration must be given before appointing a divorced and remarried or divorced person to either of these offices. (Genesis 2:24, 19:5; Matthew 19:3-12; Romans 7:1-3; I Corinthians 7:10-15; Ephesians 5:21-33; I Timothy 3:2; Titus 1:6)

Abortion
Heritage Church believes that human life begins at conception and that the
unborn child is a living human being. Abortion constitutes the unjustified, unexcused
taking of unborn human life. We reject any teaching that abortions of pregnancies due to
rape, incest, birth defects, gender selection, birth or population control, or the mental
well being of the mother are acceptable. We believe in the abundant mercy and grace of
our God and that anyone who has been a participant in an abortion in any way and has
repented of their sin is forgiven and can be greatly used of God in Christian service. (Job
3:16; Psalm 139:13-16; Isaiah 44:24, 49:1, 5; Jeremiah 1:5, 20:15-18; Luke 1:44)
Missions
Heritage Church believes that God has given the church a great commission
to proclaim the Gospel to all nations so that there might be a great multitude from every
nation, tribe, ethnic group, and language group who trust in the Lord Jesus Christ. As
ambassadors of Christ, we must use all available means to go to the mission fields, both

foreign and domestic, and not wait for the unsaved to come to us. (Matthew 28:19-20;
Mark 16:15; Luke 24:46-48; John 20:21; Acts 1:8; II Corinthians 5:20)
Lawsuits Between Believers
Romans 12:18 says: “If it is possible, as far as it depends
on you, live at peace with everyone.†Heritage Church believes, therefore, that Christians
should do everything in their power to resolve personal disputes with other Christians
before resorting to litigation. (I Corinthians 6:1-8; Ephesians 4:31-32)
Giving
Heritage Church believes that every Christian is a steward of that portion of
God’s wealth entrusted to him and is obligated to support his local church financially. We
believe that God has established the tithe as a basis for giving, but that every Christian
should also give other offerings sacrificially and cheerfully to the support of the church,
the relief of those in need, and the spread of the Gospel. We believe that a Christian
relinquishes all rights to direct the use of the tithe or offering once the gift has been
made. (Genesis 14:20; Proverbs 3:9-10; Acts 4:34-37; I Corinthians 16:2; II Corinthians
9:6-7; Galatians 6:6; Ephesians 4:28; I Timothy 5:17-18; I John 3:17)
Section 2: Authority of Statement of Faith
The Statement of Faith does not exhaust the extent of our faith. The Bible itself is the sole and final source of all that we believe. We do believe, however, that the foregoing Statement of Faith is an accurate summary of what Scripture teaches and, therefore, is binding upon all members. Above all, members should adopt a spirit of cooperation and love and refrain from advocating doctrines that are not included in this Statement of Faith that may cause dissension. (I Corinthians 13:4-8; I Peter 4:8)

The following is the Heritage Church Membership Commitment: Having trusted Christ as my Lord and Savior and having been baptized, and being in agreement with Heritage Church’s statements, strategy, and structure, I now feel led by the Holy Spirit to unite with the Heritage Church family. It teaches us to say “No†to ungodliness and worldly passions, and to live self-controlled, upright and godly lives in this present age, while we wait for the blessed hope — the appearing of the glory of our great God and Savior, Jesus Christ, who gave himself for us to redeem us from all wickedness and to purify for himself a people that are his very own, eager to do what is good.†(Titus 2:11-14)
As an essential part of the Heritage Church leadership community, you have a responsibility to develop and exhibit mature Christian behavior. Everyone serving in ministry at Heritage shares a commitment to appropriately represent Christ in the following ways:

Appearance & Behavior
As Christians, the way we present ourselves to others is of vital importance to the way others
perceive Christ. Our conduct should never be dishonoring to Christ but should exemplify the
best qualities of a mature believer and servant-leader. Therefore, we commit to:
- Abstaining from the use of profanity, illegal drugs, pornography, or sexual immorality
- Appropriate dress (nothing overtly sexual or offensive)
- Not indulging in drunkenness or any harmful substances
- A positive attitude
- Unity (speaking only what is helpful, hopeful, or healing - this includes social media)
- Refraining from all behaviors which might cause Christ to grieve and others to stumble
Spiritual Habits
Heritage Church leaders commit to spiritual growth and intimacy with Christ through the habits
of:

- Godly Fellowship
- Stewardship (Time, Talent, Treasure, Temple)

ARTICLE IV
Section 1: Qualifications of Members
Membership shall be extended to all who meet the following qualifications:

Section 4: Restoration of Membership
Any individual whose membership has been terminated for any offense may have their membership restored upon evidence of repentance and restoration, and whose lifestyle is judged to be in accordance with the Statement of Faith and the Church commitment. Any individual whose membership has been terminated due to inactivity may, at their request, have their membership restored provided there is evidence of a return to active participation in the life of the church.
Membership shall be extended to all who meet the following qualifications:
- A personal profession of Christ as Lord and Savior
- Completion of the Membership Class
- Signing to abide by Heritage’s Membership Commitment
Section 2: Discipline of a Member
Matthew 18:15-20 outlines the process of conflict resolution within the church.
a) Members are expected to demonstrate special loyalty and concern for one another. When a member becomes aware of an offense of such magnitude that it hinders spiritual growth and testimony, he is to go alone to the offending party and seek to restore his brother. Before he goes, he should examine himself. When he goes, he should go with a spirit of humility and have the goal of restoration.
b) If reconciliation is not reached, a second member, preferably a pastor or a member of the Leadership Team, is to accompany the one seeking to resolve the matter. This second step should be preceded by self-examination and exercised in a spirit of humility with the goal of restoration.
c) There shall be a discipline committee consisting of a minimum of three representatives from the Executive Staff Team and Leadership Team appointed by the Lead Pastor. This is not a standing committee but is appointed as needed and for the duration of each specific case. They shall have sole authority in determining heretical deviations from the Statement of Faith and violations of the Church Commitment. If a pastor or member of the Leadership Team is the subject of a disciplinary matter, he shall not sit as a member of the discipline committee. He shall be entitled to the same steps as other church members and be subject to the same discipline.
d) If the matter is still unresolved after the steps outlined in subsections a) and b) have been taken, the discipline committee, as representatives Biblically responsible for putting down murmuring, shall hear the matter. If the matter is not resolved during the hearing before the discipline committee, the committee may recommend to the Lead Pastor that the matter be brought before the church. The Lead Pastor, with approval of the Leadership Team, will determine the most appropriate manner for this step to be taken.
e) If the matter is still unresolved after the steps outlined in subsections a), b), and d) have
been taken, such members who refuse to repent are to be removed from the
membership of the church upon a majority vote of the discipline committee.
f) No matter may be heard by the discipline committee unless the steps outlined in
subsections a) and b) have been taken, except in the case of a public offense.
Section 3: Termination of Membership
a) The membership of any individual may be terminated without notice if the member in question has not participated in the life of the church for an extended period of time, not less than one year. Upon good cause being shown to the Lead Pastor, this provision for termination may be waived in the case of any individual member at the discretion of the Lead Pastor.
b) A member shall be removed from the church roll upon receipt of a written resignation from the member.
c) A member may be removed from the church roll by exclusion as outlined in Article IV, Section 2(e).
d) Upon the death of a member, their name shall be automatically removed from the church
roll.
Section 4: Restoration of Membership
Any individual whose membership has been terminated for any offense may have their membership restored upon evidence of repentance and restoration, and whose lifestyle is judged to be in accordance with the Statement of Faith and the Church commitment. Any individual whose membership has been terminated due to inactivity may, at their request, have their membership restored provided there is evidence of a return to active participation in the life of the church.
ARTICLE V
CHURCH GOVERNMENT
The government of Heritage Church rests primarily in three teams: The Executive Staff Team, The Leadership Team, and The Pastor Advisory Council.

ARTICLE VI
EXECUTIVE STAFF TEAM
Section 1: Responsibilities
The Executive Staff Team oversees the daily ministry and operations of the church. They are the primary implementers of the church vision. This team also serves as the Ordination Council as outlined in Article XV.
Section 2: Membership
The Lead Pastor, Executive Pastor and other senior staff members whose role impacts the overall vision and direction of the church, appointed by the Lead Pastor, shall comprise this team. Those appointed will serve until removed or replaced by the Lead Pastor. The Lead Pastor serves as Chairman of the team.
Section 1: Responsibilities
The Executive Staff Team oversees the daily ministry and operations of the church. They are the primary implementers of the church vision. This team also serves as the Ordination Council as outlined in Article XV.
Section 2: Membership
The Lead Pastor, Executive Pastor and other senior staff members whose role impacts the overall vision and direction of the church, appointed by the Lead Pastor, shall comprise this team. Those appointed will serve until removed or replaced by the Lead Pastor. The Lead Pastor serves as Chairman of the team.
ARTICLE VII
LEADERSHIP TEAM

A regular meeting of the Leadership Team shall be held at least twice each year. Special Meetings of the Leadership Team may be called by or at the request of any member of the Team and shall be held at the principal office of the Church or at such other place as the Team members may determine.
Section 7: Notice
Notice of a regular or any special meeting of the Leadership Team shall be given by oral notice, email, or text to each member. The attendance of a Team member at any meeting shall constitute a waiver of notice of such meeting, except where a Team member attends a meeting for the express purpose of objecting to the transaction of business because the meeting is not lawfully called or convened. The business to be transacted at the meeting need not be specified in the notice or waiver of notice of such meeting, unless specifically required by law or by these bylaws.
Section 8: Action by Unanimous Written Consent Without Meeting
Any action required or permitted to be taken by the Leadership Team under any provision of law may be taken without a meeting, if all members of the Team shall individually or collectively consent in writing to such action. Such written consent or consents shall be filed with the minutes of the proceedings of the Team. Such action by written consent shall have the same force and effect as the majority vote of the Team members. Any certificate or other document filed under any provision of law which relates to such action so taken shall state the action was taken by majority written consent of the Leadership Team without a meeting and that the bylaws of this church authorizes the Team members to so act, and such statement shall be prima facie evidence of such authority
Section 9: Quorum
A majority of the Leadership Team shall constitute a quorum for the transaction of business at any meeting of the Team; but if less than a majority of the Team is present at any meeting, a majority of the Team members present may adjourn the meeting from time to time without further notice.
Section 10: Team Decisions
The act of a majority of the Team members present at a meeting at which a quorum is present shall be the act of the Leadership Team, unless the act of a greater number is required by law or by these bylaws. Nevertheless, the Team will always earnestly seek to reach a unanimous decision in all matters.
Section 1: Responsibilities
a) Under the direction and leadership of the Holy Spirit, the Leadership Team shall serve as overseers of the church, the church elders. The Team members shall be responsible for the Spiritual and general oversight of the affairs of the church.
b) Ongoing responsibilities of the Leadership Team include but are not limited to: Establishment of overall financial values, approval of the annual budget, the authority required to obligate church debt, approval of church policies, election of church officers, and other responsibilities as set forth in the church bylaws. All decisions of the Team shall require at least a majority vote of the Team members. The Team will earnestly seek to reach a unanimous decision in all matters.
c) The Team members shall lead the church by precept and example, submitting to one another in the Lord.
d) “Non-staff†members of the Team are given the added responsibility of dealing with certain employment issues pertaining to the Lead Pastor. Any action taken by this group must be by majority vote of the non-staff Leadership Team members. Issues that this group shall deal with include, but are not limited to compensation, correction/reprimand, and an annual review of the Lead Pastor. This group is an integral part of employment and termination issues of the Lead Pastor as outlined in Article XI, Section 2 & 3 and Article XIII, Section 1(c).
e) The Leadership Team shall have and may execute all of the corporate powers of a
Board of Directors and shall be the ultimate decision making authority in the church.
Section 2: Membership
a) The Leadership Team shall consist of lay members of the congregation, the Lead Pastor, the Executive Pastor, and possibly another executive staff member appointed by the Leadership Team. The team shall be a minimum of four to a maximum of eight lay members. The maximum number of staff members will be three. At the adoption of these bylaws, the members of the Leadership Team are: Brad Bowen, Mickey Cochran, Robby Faircloth, David Oaks, Roy Reeves, and Steve Smith.
b) A new member may be added by a majority vote of the current Team members. No more than two new members may be added in any given year.
c) Members of the Leadership Team must be called by the Holy Spirit. When such a call is
given, it should be evident to the individual so called, to the members of the Leadership
Team, and to the congregation. When this call is evident, the individual shall be
appointed to the team by a majority vote of the then current Leadership Team members.
Section 3: Qualifications
a) A Leadership Team member must be a member of Heritage church for at least two (2) years prior to their appointment to the Team. Furthermore, all Leadership Team members must meet the qualifications for Elder/Overseer as outlined in I Timothy 3:1-7 and Titus 1:5-9.
“Here is a trustworthy saying: If anyone sets his heart on being an overseer, he desires a noble task. Now the overseer must be above reproach, the husband of but one wife, temperate, selfcontrolled, respectable, hospitable, able to teach, not given to drunkenness, not violent, but gentle, not quarrelsome, not a lover of money. He must manage his own family well and see that his children obey him with proper respect. (If anyone does not know how to manage his own family, how can he take care of God’s church?) He must not be a recent convert, or he may become conceited and fall under the same judgment as the devil. He must also have a good reputation with outsiders, so that he will not fall into disgrace and the devil’s trap.†I Timothy 3:1-7
“The reason I left you in Crete was that you might straighten out what was left unfinished and
appoint Elders in every town, as I directed you. An Elder must be blameless, the husband of but
one wife, a man whose children believe and are not open to the charge of being wild and
disobedient. Since an overseer is entrusted with God’s work, he must be blameless, not
overbearing, not quick-tempered, not given to drunkenness, not violent, not pursuing dishonest
gain. Rather he must be hospitable, one who loves what is good, who is self-controlled, upright,
holy, and disciplined. He must hold firmly to the trustworthy message as it has been taught, so
that he can encourage others by sound doctrine and refute those who oppose it.†Titus 1:5-9
b) Members of the Leadership Team and their families are to be a model for the
congregation. They are called to a higher standard. Consequently, there shall be a
greater expectation of the Team member and his family. They should be active
participants in the mission and vision of the church.
Section 4: Resignation or Dismissal
a) When it becomes apparent that a member of the Leadership Team should not serve as a member of the Team, he may resign or by a majority vote of the other members, be immediately removed from office.
b) A position on the Leadership Team is a serious commitment and should not be taken lightly. Therefore, resignations are discouraged except under the most extreme circumstances or when it is apparent to the member and/or the rest of the Team that his time of service is complete. Resignations are to be submitted in writing to the remaining Leadership Team members and must be approved by a majority vote of the Team.
c) Vacancies caused by the dismissal, resignation or death of a member shall be filled as
outlined in Article VII, Sections 2.c.
Section 5: Regular Meetings
A regular meeting of the Leadership Team shall be held at least twice each year. The Pastor Advisory Council serves as advisory elders to the Lead Pastor. They have the unique responsibility to advise, encourage, listen to, and counsel the Lead Pastor, as well as hold accountable, correct, and reprimand when needed.
Section 2: Membership
Members of the Pastor Advisory Council are selected by the Lead Pastor and approved by the Leadership Team. The Lead Pastor selects the members because it must be a group he trusts, respects, and with whom he can feel free to be honest and vulnerable. The council has a minimum of three and a maximum of five members in addition to the Lead Pastor. A chairman of the Council will be selected by a majority vote of the other members.

The qualifications for the Council are the same as those outlined for the Leadership Team in Article VII, Section 3.
Section 4: Resignation or Dismissal

As an accommodation to legal relationships outside the church, the officers of the church shall also serve as the corresponding officers of the corporation.

Officers shall be elected by a majority vote of the Leadership Team.
Section 5: Removal
The Leadership Team may remove any officer elected or appointed by the Leadership Team whenever in its judgment the best interest of the church would be served thereby. Should the officer in question be a member of the Leadership Team, the remaining members of the Team shall make the decision for removal.
ARTICLE X
DUTIES OF OFFICERS

The Chairman shall serve as the principal representative of and spokesman for the Leadership Team in all its dealings and shall be the senior lay officer of the church. He shall perform all other duties as may be prescribed from time to time by the Leadership Team.
Section 2: Vice-Chairman of the Leadership Team
In the absence of the chairman or in the event of his death, or inability or refusal to act, the Vice Chairman shall perform the duties of the Chairman, and when acting so, shall have powers of and be subject to the restrictions upon the Chairman. He shall perform such other duties as from time to time are assigned to him by the Chairman or by the Leadership Team.
Section 3: President
The Lead Pastor shall be the President of the church and, subject to the Leadership Team, shall in general supervise and control all of the business and affairs of the church. He may also sign any deeds, mortgages, bonds, contracts, or other instruments which the Leadership Team has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Leadership Team or by these bylaws to some other officer or agent of the church, or shall be required by law to be otherwise signed or executed; and in general shall perform all duties incident to the office of President and such other duties as may be prescribed by the Leadership Team from time to time. (See Article XIII, Section 1)
Section 4: Vice President
In the absence of the President or in the event of his death, or inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice President shall perform such other duties as from time to time may be assigned to him by the President or by the Leadership Team. The Vice President shall be a pastor of the church (see Article XIII, Section 2)

c) Be custodian of the church corporate records and of the seal of the corporation and see that the seal of the corporation is affixed to all documents, the execution of which on behalf of the corporation under its seal is duly authorized;
d) Keep a register of the post office address of each member which shall be furnished to the Secretary by such member;
e) In general, perform all duties incident to the office of Secretary and other such duties as
from time to time may be assigned to him by the Chairman or Leadership Team.
Section 6: Treasurer
Unless there is a compelling reason approved by the Leadership Team, the Executive Pastor will serve as Treasurer. The Treasurer shall:
a) Have charge and custody of and be responsible for all funds and securities of the
church; receive and give receipts for monies due and payable to the church from any
source whatsoever, and deposit all such monies in the name of the church in such
banks, trust companies, or other depositories as shall be selected by the Leadership
Team;
b) In general perform all the duties to the office of Treasurer and such other duties as from
time to time may be assigned to him by the Leadership Team;
c) If required by the Leadership Team, the Treasurer shall give a bond for the faithful
discharge of his duties in such sum and with such surety as the Leadership Team shall
determine.
In case of the absence of any officer of the church, or for any other reason that may seem sufficient to the Team, the Leadership Team may delegate his duties and powers for the time being to any other officer, or to any Leadership Team member.
ARTICLE XI
MISSION LEADERSHIP TEAM AND COMMITTEES
Section 1: Mission Leadership Team
The local, national, and international missions emphasis of the church is led by the Missions Pastor. In order to provide support, guidance, protection, and accountability, the church has a Missions Leadership Team. It is comprised of the Missions Pastor, the Lead Pastor, the Executive Pastor, and a liaison from the Church Leadership Team appointed by the Church Leadership Team. The liaison will serve until the Church Leadership Team appoints a replacement. The primary function of this team is to set the overall missions vision and to oversee the annual missions budget as outlined in the Missions Leadership Team policy.
Section 2: Pastor Search Committee
When the need arises to find a new Lead Pastor, the members of the Executive Staff Team, including the present Lead Pastor if he is still in office, and the Church Leadership Team will form the Pastor Search Committee. The Chairman of the Church Leadership Team will serve as Chair of the committee. A new Lead Pastor will be selected based on a majority vote of this committee, although the committee should seek for a unanimous vote. This committee also has the authority to select an interim pastor by majority vote of the committee.
Section 3: Pastor Resignation/Termination Committee
If circumstances arise to consider the resignation or termination of the Lead Pastor from office, the Church Leadership Team and the Pastor Advisory Team will form the Pastor Resignation/ Termination Committee. The Chairman of the Church Leadership Team will serve as Chair of the committee. A resignation will be accepted by a majority vote of this committee. Termination will be enacted by a majority vote of this committee. In either case, the committee should seek a unanimous vote.
Section 4: Other Committees
The Executive Staff Team or the Leadership Team at a meeting at which a quorum is present may designate committees not having and exercising the authority of the Executive Staff Team or the Leadership Team in the management of the church. Except as otherwise provided, members of said committee shall be members of the congregation of the church and shall be appointed by the Lead Pastor, Staff Executive Team, or Leadership Team as set forth in the meeting. Any member may be removed by the person or persons authorized to appoint such member whenever in their judgment the best interest of the church shall be served by such removal.

ARTICLE XII
MEETINGS

Small groups take many forms and meet throughout the week in addition to the regular Worship Service.
Section 3: Church Administration
Church administration meetings shall be held in accordance with the stipulations in Article VII, Sections 5-10 of this document.

In handling the business of the church, an informal procedure of open discussion shall be used with every attempt to maintain an open and courteous meeting leading to consensus. Should the need arise, Robert’s Rules of Order (the latest edition) shall be used to govern all business proceedings except where they are in conflict with the bylaws, in which event the bylaws will govern.
Section 1: Worship
a) The members of the congregation shall meet for regular worship services. The day of the week and the time of each regular service shall be established by the Executive Staff Team.
b) The ordinance of Baptism shall be observed on a regular basis as established by the Executive Staff Team.
c) The Lord’s Supper, Communion, will be observed on appropriate occasions as determined by the Lead Pastor or Staff Executive Team.
d) The Lead Pastor or the Executive Staff Team may schedule other religious services and
meetings.
Section 2: Small Groups
Small groups take many forms and meet throughout the week in addition to the regular Worship Service.
a) All those in the congregation are encouraged to participate in some type of small group. The Lead Pastor or the Executive Staff Team shall determine the number, structure, and leadership of the various small groups.
b) The Small Group Ministry is designed to foster an atmosphere where:
- Strong relationships are built;
- Spiritual foundations are formed;
- Ministry in various forms can take place;
- Intimate sharing and accountability are encouraged.
c) Small groups shall meet at such times and places as determined by the group leader.
Section 3: Church Administration
Church administration meetings shall be held in accordance with the stipulations in Article VII, Sections 5-10 of this document.
Section 4: Special Meetings
a) The Lead Pastor or Chairman of the Leadership Team may call a special meeting of the
congregation for whatever items of business may from time to time need to be
addressed. Notice of such meeting and the purpose for which it is called shall be given
from the pulpit at least one Sunday and no less than one week prior to said
meeting.
b) Conferences and seminars of various types, revivals, and other such special meetings
may be held as the Lead Pastor or Executive Staff Team see fit.

ARTICLE XIII
PASTORS

b) Term of Service: The Lead Pastor shall serve without limitation of term. The Lead Pastor’s tenure of service shall end by his resignation, death, or termination as outlined in Article XI, Section 3 of this document. The Lead Pastor may resign at any time by written resignation delivered to the Pastor Resignation Committee. He shall give no less than two months notice unless the Committee accepts a shorter notice.
c) Conditions of Employment: The salary of the Lead Pastor and other compensation such as insurance, housing allowance, pension, etc. shall be specified in writing and made part of the employee agreement upon which the non-staff Leadership Team members vote. Likewise, such issues as vacation, sick leave, attendance at meetings and conferences, moving expenses, and other agreed upon conditions shall be addressed in the agreement. Any changes in the initial conditions of employment shall be enacted by majority vote of the non-staff Leadership Team members.
d) Qualifications: The qualifications for Lead Pastor shall be the Biblical standards for the office of Elder (I Timothy 3:1-7 and Titus 1:5-9). Additional qualifications shall be as determined by the Leadership Team.
e) Responsibilities: The Lead Pastor shall serve as a member of the Leadership Team, and shall:
- Be the primary communicator of the church vision and direction.
- Minister to the congregation through the regular preaching and teaching from the scriptures;
- Oversee the day-to-day operation of the church;
- Oversee the church’s observance of its ordinances and ceremonies;
- Oversee the services of public worship;
- Supervise paid staff functions;
- Have the privilege to serve as an ex-officio member of any ministry team or committee;
- Perform other such duties as may be delegated to him from time to time.
f) Outside Ministries: Involvement by the Lead Pastor in ministries, work, or other
endeavors outside of the church and its ministries shall be reported to the Leadership
Team and shall be subject to approval.
Section 2: Pastor(s)
a) Selection: The Executive Staff Team shall appoint any pastor other than the Lead Pastor
and submit the appointment to the Leadership Team.
b) Term of Service: A pastor(s) shall serve without limitation of term. He may resign at any
time by written resignation delivered to the Executive Staff Team. He shall give no less
than two months notice unless the Executive Staff Team accepts a shorter notice.
Termination of a pastor shall occur after just cause and a majority vote of the Executive
Staff Team.
c) Conditions of Employment: The salary of a Pastor and other compensation such as

of Elder (I Timothy 3:1-7 and Titus 1:5-9). Additional qualifications shall be as determined
by the Executive Staff Team.
e) Responsibilities: The Lead Pastor shall assign the duties of a Pastor(s).
f) Outside Ministries: Involvement of any pastor in ministries, work, or other endeavors
outside of the church and its ministries shall be reported to the Lead Pastor and shall be
subject to his approval.
ARTICLE XIV
MINISTRY OF EDUCATION
Section 1: Purpose
The church believes that it is to provide its members with education, which is based upon and consistent with Biblical teaching. The church believes that the home and church are responsible before God for providing a Christian education. To this end, this church shall engage in ministries of education in keeping with these bylaws.
Section 2: Church Participation
All educational programs or courses of instruction formulated and offered by the church shall be primarily for the benefit of the members of the church. However, the Executive Staff Team may permit non-church members to participate in church educational programs or courses of instruction if deemed in the best interest of the church.
Section 3: Staff Membership
All instructors, teachers, and administrators shall be members of this church. This provision shall not apply to visiting missionaries, evangelists, teachers, or preachers engaged for the purpose of delivering sermons, conducting revivals, or other special meetings on a temporary basis.
Section 4: Statement of Faith Accord
All educational programs or courses of instruction shall be taught and presented in full accord with the Statement of Faith of the church.
Section 5: Unity
All educational programs or courses of instruction shall be conducted as an integral and inseparable ministry of the church.
Section 6: Teaching
All educational programs or courses of instruction shall be conducted consistent with the teaching of the inerrant Word of God. Any assertion or belief, which conflicts with or questions a Bible truth, will be disclaimed as false. It is the responsibility of every instructor or teacher to present the Word of God as the sole infallible source of knowledge and wisdom.
Section 7: Christian Walk
All administrators, instructors, and teachers shall continue or adopt a lifestyle consistent with the precepts that they teach.

ARTICLE XV
LICENSING AND ORDINATION
Section 1: Licensing and Ordination
Qualifications Any member of the church who may, in the judgment of the Executive Staff Team and Leadership Team, give evidence of piety, zeal, and fitness to minister, and who is called of God to the work of the ministry, may be licensed and/or ordained to Christian ministry.
Section 2: Licensing and Ordination Procedure

a) Application for a license or ordination to the ministry must be presented to the Executive
Staff Team, which serves as the Licensing and Ordination Council. The candidate for a
license or ordination must appear personally before the council for examination.
b) Approval to issue a license or ordination to the ministry requires unanimous consent of
the Licensing and Ordination Council.
c) All other information concerning the procedure, qualifications and other issues pertaining
to ordination to the ministry by Heritage Church is contained in the Heritage Church
Licensing and Ordination Policy.
ARTICLE XVI
INDEMNIFICATION
Section 1: Actions Subject to Indemnification
The church may indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action, suit or proceeding, whether civil, criminal, administrative, or investigative, including all appeals (other than an action by or in the right of the church) by reason of the fact that the person is or was a pastor, officer, member of the Leadership Team, employee or agent of the church, against expenses, including attorney’s fees, judgments, fines, and amounts paid in settlement actually and reasonably incurred by him in connection with the action, suit, or proceeding; and that if such person acted in good faith and in a manner he reasonably believed to be in or not opposed to the best interests of the church and, with respect to any criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful. The termination of any action, suit, or proceeding by judgment, order, settlement, conviction, or on a plea of nolo contendere or its equivalent, shall not, of itself, create a presumption that the person did not act in good faith and in a manner that he reasonably believed to be in or not opposed to the best interests of the church and with respect to any criminal proceeding had reasonable cause to believe that his or her conduct was unlawful.
Section 2: Expenses Subject to Indemnification
To the extent that a pastor, officer, member of the Leadership Team, employee or agent has been successful on the merits or otherwise in defense of any action, suit, or proceeding referred 23 to in this Article, or in defense of any claim, issue, or matter in that action, suit, or proceeding he may be indemnified against expenses, including attorney’s fees, actually and reasonably occurred by him in connection with the action, suit, or proceeding.
Section 3: Limitations of Indemnification
Any indemnification made under this Article, may be made by the church only as authorized in the specific case on a determination that indemnification of the pastor, officer, member of the Leadership Team, employee, or agent is proper in the circumstances because he has met the applicable standard of conduct set forth in Section 1 of this Article. The determination shall be made:
Section 4: Timing of Indemnification
Expenses of each person seeking indemnification under this Article may be paid by the church as they are incurred, in advance of the final disposition of the action, suit, or proceeding, as authorized by the Leadership Team in the specific case, on receipt of an undertaking by or on behalf of the pastor, officer, member of the Leadership Team, employee, or agent to repay the amount if it is ultimately determined that he is not qualified for indemnification by the church.
Section 5: Extent of Indemnification
The indemnification provided by this Article shall be deemed to be discretionary unless otherwise required as a matter of law or under any agreement or provided by insurance purchased by the church, both as to action of each person seeking indemnification under this Article in his official capacity and as to action in another capacity while holding that office, and may continue as to a person who has ceased to be a pastor, officer, member of the Leadership Team, employee, or agent and may inure to the benefit of the heirs, executors, and administrators of that person.
Section 6: Insurance
The church may purchase and maintain insurance on behalf of any person who is or was a pastor, officer, member of the Leadership Team, employee or agent of the church against the liability asserted against him and incurred by him in that capacity, or arising out of his status in that capacity, whether or not the church would have the power to indemnify him against liability under the provisions of this Article.

No loan shall be contracted on behalf of the church and no evidences of indebtedness shall be issued in its name unless authorized by a resolution of the Leadership Team. Such authority may be general or confined to specific instances.
Section 4: Absence of Specification
If the Leadership Team authorizes a contract or the borrowing of money, and no officer or officers are specifically authorized to execute the instruments, such instruments as may be proper or required to enter into the contract or carry it out, or to borrow of funds, shall be signed by the President and his signature attested, where proper, by the Secretary, who shall have authority to affix the corporate seal.
Section 5: Checks, Drafts, etc.
All checks, drafts, or other orders for payment of money, notes, or other evidences of indebtedness issued in the name of the church shall be signed by such officer or officers, agent or agents of the church and in such manner as shall from time to time be determined by resolution of the Leadership Team.
Section 6: Deposits
All funds of the church not otherwise employed shall be deposited from time to time to the credit of the church in such banks, trusts companies, or other depositories as the Leadership Team may select.
Section 7: Withdrawal of Funds
The Leadership Team shall determine which officers or agents shall have the power to withdraw funds in addition to those officers or agents so authorized in these bylaws. 25
Section 8: Annual financial review
An outside financial review shall be conducted on an annual basis by a certified accounting firm. The report and findings of the review shall be addressed to the Leadership Team and made available to all members of the church.

b) All funds raised for the church for satisfying the church’s budgeted expenses shall be from the free will offerings of members and friends. The Lead Pastor or his designee must approve any special funds raised for non-budgeted activities.

ARTICLE XVIII

ARTICLE XIX
DESIGNATED CONTRIBUTIONS
From time to time the church, in the exercise of its religious, educational, and charitable purposes may establish various funds to accomplish specific goals. Contributors may suggest uses for their contributions, but all suggestions shall be deemed as advisory rather than mandatory in nature. All contributions made to specific funds or otherwise designated shall remain subject to the exclusive control of the Leadership Team. No fiduciary obligation shall be created by any designated contribution made to the church other than to use the contribution for the general furtherance of any of the purposes stated in Article II, Section 3.
From time to time the church, in the exercise of its religious, educational, and charitable purposes may establish various funds to accomplish specific goals. BINDING ARBITRATION
Section 1: Notice of Arbitration
In the event of any dispute, claim, question, or disagreement arising out of or relating to these bylaws or any other church matter, the parties shall use their best efforts to settle such disputes, claims, questions, or disagreements as befits Christians. To this effect they shall consult and negotiate with each other in good faith and recognize their mutual interests not to disgrace the name of Christ, seek to reach a just and equitable solution. If they do not reach such solution within a period of sixty (60) days, then upon notice by either party to the other, all such disputes, claims, questions and differences shall be mediated using a mediator from the Southern Judicial Circuit. The parties involved shall split the cost of the mediation. If the mediation process results in an impasse, then all such disputes, claims, questions, or differences shall be finally settled by arbitration and such Procedures of Arbitration as are adopted pursuant to the following two Sections.

forth in Article VII, Section 4 and Article XIII were followed.
Section 3: Arbitration Procedures
The procedures for arbitration shall be adopted by the Lead Pastor and the Leadership Team.
ARTICLE XXI
AMENDMENTS
The Articles of Incorporation and these bylaws may be revised, amended, or replaced by a majority vote of the members of the Leadership Team at any regular or special meeting of the Leadership Team.
ADOPTION
These bylaws were adopted by a two-thirds majority vote of the members of the Leadership Team at a duly called meeting of the Leadership Team.
These bylaws supersede and take precedence over any previously existing Rules or bylaws or any conflicting minutes of the church or any traditional/historical procedure.
Adopted by the full Leadership Team this the 19th day of December 2016.
